1. Acceptance of terms
By accessing or using the Service, creating an account, or purchasing credits, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of the Service
The Service lets you purchase prepaid credits and route API requests to DeepSeek language models (including DeepSeek-V3 and DeepSeek-R1) through our proxy endpoint. We provide account management, API key issuance, usage reporting, and billing. We do not own or control the underlying models and may pass through changes, limitations, or outages from the upstream provider.
3. Eligibility & accounts
- You must be at least 18 years old and capable of forming a binding contract.
- You are responsible for maintaining the confidentiality of your account and API keys, and for all activity under them.
- Notify us immediately of any unauthorized use at [email protected].
4. Credits, billing & refunds
- Credits are prepaid and consumed based on token usage at the rates shown in your dashboard at the time of use.
- Rates are indicative and may change; material changes will be communicated in advance where reasonably possible.
- Unless required by law, purchased credits are non-refundable once consumed. Unused credits are valid for 12 months from purchase.
- You are responsible for any taxes associated with your purchases.
5. Acceptable use
You agree not to use the Service to:
- Violate any law or the rights of others, or generate unlawful, infringing, or harmful content;
- Attempt to disrupt, reverse engineer, overload, or circumvent rate limits or security of the Service;
- Resell, sublicense, or expose raw access in a way that violates the upstream provider's terms;
- Use the Service for high-risk activities where failure could lead to death, injury, or severe harm.
Your use must also comply with DeepSeek's own usage policies for the underlying models.
6. Service availability
We target high availability but do not guarantee uninterrupted service. The Service depends on upstream providers and may experience downtime, latency, or model changes outside our control. Published SLAs, where offered, define the only availability commitments.
7. Intellectual property
The Service's branding, site, and software are owned by us or our licensors. "DeepSeek", "DeepSeek-V3", and "DeepSeek-R1" are names of products and models created by DeepSeek and are used here descriptively to identify the service we resell. We claim no ownership of DeepSeek's trademarks or models.
8. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Model outputs may be inaccurate; you are responsible for evaluating outputs before relying on them.
9. Limitation of liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data. Our total liability for any claim shall not exceed the amount you paid to us in the three months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.
11. Suspension & termination
We may suspend or terminate access if you breach these Terms, fail to pay, or create risk for the Service or other users. You may stop using the Service at any time. Provisions that by their nature survive termination will continue to apply.
12. Changes to these Terms
We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance. We will update the "Last updated" date above when changes are made.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which the Service operator is established, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction.
